Limepixel Standard Terms and Conditions
By placing an order with Limepixel, you are confirming that you are in agreement with and are bounded by the terms and conditions set out below.
Definitions:
The Client: the company or an individual requesting the services of Limepixel.
Limepixel: Primary designer/site owner and employees and affiliates and collaborators.
Limepixel will only commence work on a project only when an agreement has been provided either by email or mail.
Website Design
Whilst we endeavour to ensure that the website, including all scripts and programs are free form errors, Limepixel cannot be held responsible for any losses incurred due to malfunction.
The website, graphics and any programming code remain the property of Limepixel until all outstanding fees are paid in full.
Limepixel cannot accept any responsibility for any copyright infringements caused by materials and/or content supplied by the client. Limepixel reserves the right to refuse any material of a copyrighted nature unless adequate proof is provided of the permission to use such material.
Any additions to the brief provided will be carried out at the discretion of Limepixel however we reserve the right to charge an according amount for any corrections or additions.
I am happy to make revisions, however this maybe considered a change of scope. I have defined what are revisions below;
- Any changes or adjustments to pages which include adding/removing copy, any changes to sections including moving around on a page, replacing any photos, graphics or copy, changing of colours and fonts.
- All revisions must be sent to me via email. Further or additional emails will be taken as a further revision and will be billable.
- Anything outside of the list of revisions will be considered a change of scope of the project and may be billable separately. Examples of change of scope are considered to be;
- New design layouts, additional pages, drastic changes to layouts, a redesign of sections and pages or posts.
The client agrees to make available as soon as reasonably possible to Limepixel all materials required to complete the site to the agreed standard and within the set deadline.
Failure to provide Limepixel or its collaborators the content or information required to complete or undertake the work or the website at the time arranged we reserve the right to close or pause the project and reschedule a start date suitable to Limepixel and/or its collaborators.
Limepixel will not hold or save any content supplied after the site has gone live. This includes text, images website links, social media account links or logins or access to any online data storage space.
Limepixel will not hold or save any passwords to your website or any other platform that you mat have previously supplied to us for the development or amendment to your website.
Limepixel is not liable for any costs incurred, compensation or loss of earnings due to the failure to meet agreed deadlines.
In consideration and acceptance of a quotation provided by Limepixel or its collaborative partners, either in writing or by action and payment of the stated deposit payment (either in part or fully), then this document will be the overriding document in forming the contract between us.
Website Hosting
Whilst Limepixel recommends hosting companies to host websites no guarantees can be made, by Limepixel, as to the availability or interruption of the service, or for the loss of turnover, sales, revenue, profits or any indirect consequential loss.
Limepixel reserve the right to refuse to handle in any way any material which may be deemed offensive, illegal or in any way controversial.
Any hosting provided by Limepixel is billed annually and the renewal dates are take when the site is set up in development not when the website goes live.
Website Optimization
Due to external factors, such as changes to the way search engines rank websites, we cannot offer any guarantees regarding position we will achieve for websites. We cannot accept liability for any change in rankings or position of your website due to changes that search engines make or factors that they use to rank websites.
Domain Name Registration
Limepixel can register a domain name your behalf thorough a third party on your instruction.
Limepixel may charge an admin fee of £5 to register a domain name and/or renew a domain name on your behalf.
Limepixel will bill for any domain name registrations before registering them on behalf of the client and renewal dates are taken from date registered not from when the website goes live.
Payment of Accounts
A deposit is required from any new client before any work is undertaken. It is our policy that any outstanding accounts for work completed by Limepixel are to be paid in full no later than 14 days from the date of the invoice unless by prior arrangement with Limepixel.
Once a deposit is paid and work has been completed you are obliged to pay the balance in full. You will receive notification of outstanding accounts by invoice sent by email or telephone if such payments have not been received when due.
If accounts are not settled or Limepixel has not been contacted regarding the delay, access to the related website may be denied and web pages removed. If Limepixel deems necessary we will proceed to pass such cases to the Small Claims Court to pursue non payment.
If Limepixel instructs any collaborative partners to carry out services on their behalf you are obliged to adher to their own terms and conditions which will be provided.
A deposit of 50% is required with any standard project before any design/build work will be carried out and is non refundable.
Once a website has been completed and the final balance due in accordance with our payment terms, there are no exceptions to this:
if a client decides they no longer want the site, as the client has commissioned the work and a deposit has been paid they are still obliged to pay for the work that has been done.
Non payment will result in action being taken if necessary. Once full payment has been received it is assumed that the website has been completed to the client’s satisfactions and no refunds can be offered.
Late payments, unless authorised by Limepixel, will incur a service charge of £25 per month until the full outstanding payment has been made.
The client agrees to pay Limepixel for any additional expenses necessary to complete the work such as stock photography or additional fonts.
Any ad hoc work which usually includes website amendments, updates , additions will be invoiced before any commencement of work.
Your Privacy
We do not share or sell any of your details with third party companies, without your express permission and we will only email you or contact you regarding work matters.
Complaints Procedure
Informal procedure
Anyone who experiences a problem with their web service provided by Limepixel then you should raise the mater directly with us either by email or by telephone giving full details of the matter.
Limepixel will approach the individual responsible for the material in question with a view to resolving the matter to the satisfaction of the complainant.
Formal Procedure
The formal complaints procedure should only be used where the complainant feels the nature of the matter is too serious to be dealt with informally, or where satisfactory conclusion has not been reached after following the informal procedure.
A formal complaint should be made in writing to Limepixel, who will acknowledge receipt of the letter and ensure the matter is looked into. An initial response to any complaint can be expected within seven days
of its receipt. A full and considered response to the complaint should be completed within 30 days and any subsequent remedy implemented with the minimum delay.
Limepixel Lite Sites Package Terms & Conditions
In consideration and acceptance of a quotation either in writing or by action and payment of the stated deposit payment (either in part or fully) then this document will be the overriding document in forming the contract between us.
Full payment is required before commencement of project and on your acceptance of the project outline & quote issued via email.
We will not make any changes to the theme. Unless Limepixel authorises or customer chooses as an additional extra item.
The website project must be completed within 3 months of payment received by Limepixel or Limepixel cannot guarantee completion of project.
Hosting and domain names are registered and set up for one year only.
To renew these services after the year the customer will be required to pay Limepixel £94 for website hosting per year and £15.00 per .co.uk domain name per year. Dot.com are not included in this package but can be purchased. Please request price for a .com.
Limepixel can supply additional extras as a shopping list with this type of project although these will be billable as extra and separate.
Limepixel may discount the cost of this package from time to time however the standard price for this package only is £950.
Limepixel Standard Terms & Conditions as outlined above must be adhered too within this package offering.
